Terms & Conditions.
1. Overview
These Terms & Conditions apply to all products and services provided by Present Projects Ltd (“Present”, “we”, “us”, “our”).
By placing an order, paying a deposit or engaging our services, you (“the Client”) agree to these Terms in full.
2. Orders & Payment
2.1 Deposit & Balance
- A 50% non-refundable deposit is required to begin production.
- The remaining 50% balance must be paid via bank transfer (T/T) prior to dispatch of goods.
- Production will not commence until the deposit has been received and cleared.
- Goods will not be released for shipment until full payment has been received.
2.2 Payment Terms & Enforcement
All payments must be made in full, in cleared funds, without deduction, set-off or delay.
If payment is not received when due:
- Present reserves the right to suspend production and/or delivery
- Interest may be charged on overdue amounts at 4% above the Bank of England base rate, accruing daily
- The Client is responsible for all reasonable costs incurred in recovering overdue payments, including legal and administrative fees
Title to goods remains with Present until full payment has been received.
3. Lead Times
Estimated manufacturing lead time is approximately 30 days from receipt of deposit.
Shipping follows manufacturing and varies:
- Air freight: approximately 10–14 days
- Sea freight: approximately 4–6 weeks
All timelines are estimates only and may vary depending on production complexity, materials and external factors.
4. Shop Drawings & Client Approval
Where applicable, shop drawings and/or technical drawings will be provided prior to production.
The Client is responsible for reviewing and approving all drawings carefully, including dimensions, proportions, materials and specifications.
Approval constitutes final confirmation. Present is not responsible for errors once drawings have been approved.
5. Final Approval
Upon completion of production, final photos will be shared for approval.
The Client must confirm approval prior to final payment and shipment.
6. Shipping & Delivery
6.1 Shipping
Upon receipt of the remaining balance, goods will be released to our freight partner for delivery.
Shipping costs provided at quotation stage are estimates only and may vary based on final packaging size, weight and logistics conditions.
6.2 Costs
Unless otherwise stated, prices exclude:
- Shipping
- Import duties
- Customs clearance
- Local taxes
These costs are the responsibility of the Client.
6.3 Delivery Terms
Standard delivery is curbside. White-glove delivery and installation may be arranged at additional cost.
7. Delays
Present is not liable for delays caused by:
- Shipping carriers
- Customs clearance
- Port congestion
- Weather
- Supplier delays
- Force majeure events
8. Custom-Made Goods & Cancellations
- All items are made to order.
- Orders are non-refundable once production has commenced.
- Cancellations after deposit may result in partial or full loss of deposit depending on production stage.
9. Materials & Variations
Natural and handmade materials may vary. This includes:
- Stone veining and colour
- Wood grain and tone
- Fabric and leather variation
- Hand-finished surfaces
These are not defects but part of the product's character.
10. Dimensions & Tolerances
All products are subject to standard manufacturing tolerances. Minor variations in size and finish do not constitute defects.
11. Damage & Claims
The Client must inspect goods upon delivery. Any visible damage must be reported within 48 hours, with photographic evidence. Failure to report within this timeframe may affect claims with shipping providers.
12. Storage & Delayed Shipment
If shipment is delayed at the Client's request after production is complete:
- Storage fees may apply
- Present reserves the right to charge reasonable storage and handling costs
13. Design Ownership & Intellectual Property
Present retains full ownership of all designs, drawings, specifications, production methods and adaptations unless exclusivity is agreed in writing prior to production.
Clients are granted the right to use commissioned pieces within their own space.
Present reserves the right to reproduce, adapt and develop designs.
Exclusivity
Design exclusivity may be arranged as a paid upgrade. Exclusivity is priced on a case-by-case basis depending on the scope and nature of the design, and may be time-limited, geography-limited or project-type-limited where agreed.
Pricing and the agreed scope of exclusivity are confirmed in writing prior to production. The Client and Present must both sign the agreed terms before any exclusivity arrangement takes effect.
14. Content & Marketing Rights
Portfolio, website, social and marketing use of completed work is permission-based. Present does not assume the right to share images of any project — consent is captured at quote time, defaults to off, and can be withdrawn in writing any time before delivery. This applies to projects of every size.
When permission is granted, content focuses on the design, materials and production quality. No sensitive personal data, identifying details or private addresses will be shared without separate explicit consent.
Formal Non-Disclosure
If a project requires contractual confidentiality beyond the default — for example, protecting drawings, specifications or production methods from disclosure — a formal non-disclosure arrangement may be arranged as a paid upgrade.
Pricing is on a case-by-case basis depending on scope, and the agreed terms are confirmed in writing prior to production. The Client and Present must both sign the arrangement before it takes effect.
15. Quality & Remedial Work
Present takes great care in the design, sourcing and production of all products and services and works closely with specialist manufacturers to achieve a high standard of quality.
All items are made to order and, in many cases, are produced as bespoke or first-run pieces. As such, they are not mass-produced or pre-tested products, and variations or unforeseen issues may occasionally arise.
In the event of a defect or material issue attributable to production, Present will use reasonable efforts to resolve the matter in a fair and proportionate manner. This may include, at our discretion:
- repair
- replacement of part or full item
- partial refund
The appropriate remedy will depend on the nature of the issue and will be determined by Present acting reasonably.
This clause does not extend to:
- normal wear and tear
- misuse or improper installation
- damage caused by third parties
- natural material variation
- issues arising from approved designs or specifications
16. Limitation of Liability
To the fullest extent permitted by law:
- Present's total liability is limited to the value of the goods or services supplied
- Present is not liable for indirect losses, loss of profit, loss of business, or consequential or incidental damages
Nothing in these Terms excludes liability for death or personal injury caused by negligence or fraud.
17. Force Majeure
Present is not liable for failure or delay due to events beyond reasonable control, including natural disasters, strikes, supply chain disruption and government restrictions.
18. Governing Law & Disputes
These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
19. Entire Agreement
These Terms constitute the entire agreement between Present and the Client and supersede all prior discussions or agreements.
